ARTICLE II
OBJECTS AND PURPOSES
The Michigan Land Title Association is a professional association dedicated to supporting its members’’ efforts to provide their clientele with the highest quality land title evidencing and title assurance services possible. The Association will achieve this mission by actively promoting sound and ethical practices; by encouraging needed and supportive industry regulation; by providing continuous education for its members in all matters relating to land title evidencing and assurance; by advancing effective communication within the title industry and the Association; and by enlightening and informing the general public on the importance of the services provided by the members of this Association.
ARTICLE III
MEMBERSHIP
Section 1. Classes of Members
Members shall be classified as Active, Associate, Professional, or Honorary .
Section 2. Active Members
(a) Every person, firm or corporation operating as an independent business enterprise which is actively engaged in evidencing land titles, is licensed by the State of Michigan, and agrees to conform to the code of ethics adopted by the membership of the Michigan Land Title Association, has not engaged in any illegal or fraudulent business practice and has been duly sponsored by an active member, is eligible for Active membership.
(b) Every corporation, resident or non-resident, which has qualified under the laws of the State of Michigan to do business as a Title Insurance Company, and which is actually issuing policies of title insurance in Michigan, and agrees to conform to the code of ethics adopted by the membership of the Michigan Land Title Association, has not engaged in any illegal or fraudulent business practice and has been duly sponsored by an active member, is eligible for Active membership.
Section 3. Associate Member
Every person, firm or corporation operating as an independent business enterprise which is actively engaged in any of the following: title searching, escrow, closing functions or document retrieval and is not regulated or licensed by the State of Michigan and agrees to conform to the code of ethics adopted by the membership of the Michigan Land Title Association, has not engaged in any illegal or fraudulent business practice and has been duly sponsored by an active member, is eligible for Associate Membership.
Section 4. Professional Members
Professional membership shall be limited to those not eligible for Active or Associate membership. Professional membership shall be available to any individual, sole proprietorship, partnership, corporation or other business entity engaged in providing services related to the land title industry as defined by the Board of Directors, and which agrees to conform to the code of ethics adopted by the membership of the Michigan Land Title Association, has not engaged in any illegal or fraudulent business practice and has been duly sponsored by an active member, is eligible for professional membership.
Section 6. Application for Membership
Applications for membership shall be made in writing to the Executive Secretary of the corporation on the prescribed form and shall be accompanied by a non-refundable application fee of $10.00. If the application is submitted prior to January 1st, the application shall also be accompanied by payment of the first year’’s dues. If the application is submitted after January 1st, the application shall be accompanied by payment of one-half the first year’s dues. Such applicant shall, in addition, furnish such additional information as may be requested by the Board of Directors to enable it to determine the eligibility of the applicant. Approval of an application for membership shall be by a majority vote of the entire Board of Directors.
Section 7. Membership in American Land Title Association
Membership in the American Land Title Association is encouraged but not required for members of the Association.
Section 8. Voting
The voting power is vested in the Active members. Each Active member shall be entitled to one vote. Except as provided in ARTICLE VIII, the vote of the majority of the voting members present in person at any meeting is sufficient. Associate, Professional members and Honorary members may attend any general meeting of the members and participate in the discussion, but shall have no vote.
Section 9. Dues
Each Active, Associate and Professional member shall pay dues in accordance with the formula established by the Board of Directors. The annual dues shall be payable within ninety (90) days after the mailing of the notice of assessment for the dues. Honorary members shall pay no dues.
Any member in default of payment of dues for a period of three months after the same shall become payable, shall be notified in writing of the delinquency. Unless said dues are paid within one month thereafter, the Board of Directors may terminate said membership.
